Terms & Conditions



  1. 1.The undermentioned terms and conditions shall be deemed to be incorporated in all quotations submitted by ALLIED FIRE ALARMS & ESCAPES CO LTD (the company) and no representative, employee, servant or agent of the company has or shall have to amend, vary or exclude any of the terms and conditions without the company’s prior and official written confirmation. The contract for the purchase and installation of the equipment shall be concluded upon the acceptance of the company’s quotation.


  1. 2.Quotations are estimated taking into consideration the cost of material, labour and all other necessary other items and equipment as at the date of the quotation and the company may at its own discretion vary the quotation to take into account any increase in price costs, overheads and expenses in force or relating to the contract at the date of installation of the equipment. The total price quoted in respect of the installation shall unless otherwise stated in writing as part of the contract include surface wiring and all the necessary hole cutting to complete the system but will not include the cost of labour or materials charged by transit or layout prices or sub-contractors such as chiseling away brickwork, walls or floors, or redecoration and making good.


  1. 3.Delivery times quoted are estimates and shall not be regarded as of the essence of the contract. Any delay in delivery shall not entitle the customer to determine the contract or refuse to perform any of the customer’s obligations thereunder and the company shall not be liable for any loss or damage or inconvenience caused which might arise directly or indirectly from delay in delivery.


  1. 4.The company herein warrants that provided the customer has paid the total cost of the installation and subject to notice in writing of any defect or failure being given by the customer to the company forthwith the company shall in the case of the equipment manufactured by it make it good by replacement or repair any defect or failure which under normal and proper usage has appeared therein and arises solely from faulty materials or workmanship within a period of twelve calendar months from the date of completion of the installation. AT the expiration of the said period of twelve months all liability for equipment which is not manufacture by it i limited to such a guarantee (if any) as shall have been given to the company by the individual manufacturer.


  1. 5.No condition warranty and representation shall be implied and the company shall in no way be liable whether under the Sale of Goods Act, Trades Description Act or otherwise as to the fitness of the equipment for any particular purpose or its quality and the company shall not be liable for any loss or consequential damage whatsoever of for the failure of the equipment to operate.


  1. 6.The company shall not be liable for any failure to fulfil any of its obligations in the event of war, riot, strike lock-out of workmen or any other event or circumstances beyond its control.


  1. 7.All contracts with customers shall in all respects be construed and governed by English law.


  1. 8.The company as supplier of the goods to a customer retains the title to the goods until they are paid for.


CONDITIONS OF SALE


  1. 1.The property in the goods shall not pass to the purchaser until the whole of the price for the goods has and all other sums due by the purchaser to the seller have been paid.


  1. 2.Until property in the goods passes the seller may at any time require the goods to be returned to it by the purchaser and if the requirement is not completed within 7 days the seller may take possession of the goods and may enter any premises of the purchaser for such purpose. Such return or retaking possession is without predjudice to the obligation of the purchaser to purchase the goods.


  1. 3.Not withstanding the foregoing the risk of damage to or destruction of the goods shall

    pass to the purchaser at the time the goods are delivered to the purchaser whether or

    not the purchaser accepts delivery.
